Terms of Service

These Terms of Service (“Terms”) govern access to and use of globalmedhubs.com, the Global Med Hubs development environment, the development SMS program, and other services that link to these Terms. Global Med Hubs is operated by Global Smart Hubs LLC (“Global Smart Hubs,” “Global Med Hubs,” “GMH,” “we,” “us,” or “our”).

By accessing or using a covered service, you agree to these Terms. If you do not agree, do not use the service.

1. Current Development Status

Development and pre-pilot readiness

Global Med Hubs is currently in development and pre-pilot readiness. Features may be incomplete, unavailable, changed, suspended, or removed during development.

The development and quality-assurance environments are authorized only for synthetic, fictional, or otherwise fake data. You must not submit real patient information, PHI, medical records, clinical recordings, insurance information, or other information that identifies or could reasonably identify a real patient.

Nothing in these Terms states or implies that Global Med Hubs is currently HIPAA compliant, HIPAA certified, production-ready, or authorized for production PHI.

2. Eligibility and Authority

You must be at least 18 years old and legally capable of agreeing to these Terms. If you use a service for an organization, you represent that you have authority to act for that organization and that the organization agrees to these Terms.

Development access may be limited to invited and authorized testers. You may not share restricted access with unauthorized persons.

3. Description of Global Med Hubs

Global Med Hubs is being developed as a healthcare front-desk operations and unified communications platform. Planned and developing capabilities may organize phone calls, voicemail, SMS, website Contact Us inquiries, reminders, tasks, and related operational communications.

Global Med Hubs is not an electronic medical record, emergency service, clinical documentation system, or substitute for a qualified healthcare professional. Features described on the website, in demonstrations, or in development materials may not yet be generally available.

4. Accounts and Security

If you receive an account, you agree to:

  • Provide accurate account information;
  • Keep credentials confidential;
  • Use only your own assigned account;
  • Maintain reasonable security for your device and email account;
  • Promptly notify us of suspected unauthorized access; and
  • Follow access restrictions and testing instructions.

You are responsible for activity performed through your account to the extent permitted by law. We may suspend access when we reasonably believe an account has been compromised, misused, or used in violation of these Terms.

5. Acceptable Use

You may use the covered services only for lawful, authorized purposes. You must not:

  • Submit real patient information or PHI to a development or QA environment;
  • Use the service for emergency communications or time-critical clinical decisions;
  • Attempt to access another user’s or organization’s information;
  • Bypass authentication, authorization, rate limits, safety controls, or readiness gates;
  • Probe, scan, exploit, disrupt, overload, or reverse engineer the service except where applicable law expressly permits it;
  • Upload malware or harmful code;
  • Use the service to harass, defraud, impersonate, threaten, or violate another person’s rights;
  • Send unlawful, deceptive, unsolicited, or nonconsensual messages;
  • Use automated means to scrape or extract information without written authorization;
  • Place credentials, access tokens, or production secrets in messages, support requests, or test content; or
  • Use the service in a manner that violates law, carrier rules, third-party terms, or written GMH instructions.

6. Healthcare and Emergency Disclaimer

Global Med Hubs does not provide medical advice, diagnosis, treatment, or medical triage. Information, summaries, priorities, translations, drafts, and recommendations generated through the service are operational aids only.

Do not use Global Med Hubs for emergencies. If you believe someone may be experiencing a medical emergency, call 911 or the applicable local emergency service.

Healthcare organizations and their authorized personnel remain responsible for patient care, clinical decisions, identity verification, consent, communications, documentation, legal compliance, and timely follow-up.

7. Artificial Intelligence

Global Med Hubs may use artificial intelligence to assist with summarization, classification, translation, draft responses, operational priority suggestions, and follow-up recommendations.

AI-generated output may be incomplete, inaccurate, misleading, or inappropriate for a particular situation. It is not medical advice and must not be treated as clinical certainty. Authorized users remain responsible for reviewing output and deciding whether and how to use it. We do not guarantee that AI will identify every error, request, commitment, urgency, or relevant fact.

8. Development SMS Program

Invited testers, synthetic or fake data only

The Global Med Hubs development SMS program is a non-marketing testing program for invited friends, family members, and testers using synthetic or fake data.

Opt in by texting START to the designated Global Med Hubs development number. Message frequency varies. Message and data rates may apply. Reply HELP for help and STOP to opt out.

Opt-In

You may opt in by texting START to the designated Global Med Hubs development number. By doing so, you consent to receive non-marketing development and testing messages from Global Med Hubs at that number.

Frequency and Charges

Message frequency varies. Message and data rates may apply according to your mobile carrier and plan. Consent to receive messages is not a condition of purchasing goods or services.

Opt-Out and Help

Reply STOP to opt out. After an opt-out request, you may receive one final confirmation message, and no further campaign messages will be sent unless you opt in again. Reply HELP for help or email hello@globalmedhubs.com.

Delivery and Carrier Terms

Mobile carriers are not liable for delayed or undelivered messages. Message delivery is not guaranteed and may be affected by carrier availability, device settings, network conditions, or other factors outside our control.

Privacy

We do not sell or rent mobile numbers or SMS opt-in information. We do not share mobile numbers, consent records, or opt-in data with third parties or affiliates for their own marketing or promotional purposes. Our handling of SMS information is described in the Global Med Hubs Privacy Policy. Participation is also governed by these Terms of Service.

Tester Responsibilities

Do not send real patient information, PHI, medical records, diagnoses, insurance details, or other real sensitive information through the development SMS program. Use only synthetic or fake test information.

9. User Content and Feedback

You retain any rights you have in information you lawfully submit. You grant Global Smart Hubs LLC a limited right to host, process, reproduce, transmit, and use submitted information as reasonably necessary to provide, secure, test, and improve the covered service, subject to these Terms and the Privacy Policy.

You represent that you have the rights and authority needed to submit the information and permit the described processing.

If you voluntarily provide product feedback, suggestions, or ideas, you permit us to use them without restriction or compensation, provided we do not publicly identify you as the source without permission.

10. Intellectual Property

The covered services, software, interfaces, designs, text, graphics, trademarks, documentation, and related materials are owned by Global Smart Hubs LLC or its licensors and are protected by applicable intellectual-property laws.

Subject to these Terms, we grant authorized users a limited, revocable, nonexclusive, nontransferable right to use the covered services for their intended development or evaluation purpose. No other rights are granted.

“Global Med Hubs,” associated branding, and related marks may not be used without written permission except as permitted by law.

11. Third-Party Services

Global Med Hubs may rely on third-party services for hosting, communications, authentication, infrastructure, development, security, analytics, or other functions. Third-party services may be governed by separate terms and may change or become unavailable.

Use of a third-party provider does not mean that every service offered by that provider is approved for healthcare information. Production use involving PHI requires separate written authorization, appropriate agreements, and verified configuration.

12. Availability and Changes

Development services are provided for testing and evaluation. We may modify, restrict, suspend, or discontinue any development feature or access at any time. We do not guarantee uninterrupted availability, message delivery, preservation of development data, compatibility, or that a feature will be released commercially.

We may perform maintenance, apply security controls, limit usage, or remove test information when reasonably necessary.

13. Suspension and Termination

We may suspend or terminate access if you violate these Terms, create security or legal risk, misuse the service, submit prohibited data, or if continued access is no longer appropriate for the development program.

You may stop using the service at any time. SMS participation may be ended by replying STOP.

Provisions that by their nature should survive termination—including intellectual property, disclaimers, limitations of liability, responsibility for prior conduct, and dispute provisions—will survive.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, DEVELOPMENT ENVIRONMENT, SMS PROGRAM, AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” GLOBAL SMART HUBS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT THE SERVICE WILL IDENTIFY EVERY COMMUNICATION, TASK, ERROR, RISK, OR FOLLOW-UP; THAT AI OR TRANSLATIONS WILL BE ACCURATE; OR THAT MESSAGES WILL BE DELIVERED.

Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLOBAL SMART HUBS LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, REVENUE, BUSINESS, GOODWILL, OR OPPORTUNITY, ARISING FROM OR RELATING TO THE COVERED SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF GLOBAL SMART HUBS LLC FOR CLAIMS ARISING FROM OR RELATING TO FREE DEVELOPMENT OR EVALUATION ACCESS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

These limitations do not apply where liability cannot lawfully be excluded or limited.

16. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Global Smart Hubs LLC and its owners, officers, employees, contractors, and licensors from claims, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from your unlawful use of the service, prohibited submission of real patient information or PHI, violation of these Terms, or infringement of another person’s rights.

This section does not apply to the extent a claim results from conduct for which indemnification cannot lawfully be required.

17. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Unless applicable law requires otherwise, disputes arising from these Terms or the covered services will be brought in the state or federal courts with jurisdiction in Orange County, Florida, and the parties consent to that jurisdiction and venue.

18. Changes to These Terms

We may update these Terms as Global Med Hubs develops or as legal, technical, or operational requirements change. We will post revised Terms and update the Effective Date. If required, we will provide additional notice of material changes.

Continued use after revised Terms become effective constitutes acceptance to the extent permitted by law. If you do not agree with revised Terms, stop using the covered service.

19. General Terms

These Terms and the Privacy Policy constitute the agreement governing the public website and development services unless a separate written agreement applies. A clinic customer agreement, Business Associate Agreement, service-level agreement, or other signed contract will control over these Terms to the extent of a direct conflict concerning its subject matter.

If any provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them as part of a merger, reorganization, financing, sale of assets, or similar transaction.
